NO PURCHASE NECESSARY TO ENTER, WIN, OR CLAIM A PRIZE. A PURCHASE, PAYMENT, OR ACCOUNT WILL NOT INCREASE AN ENTRANT’S CHANCES OF WINNING.

You are authorized to participate in this Sweepstakes if you are located within the fifty (50) United States or the District of Columbia. All Entrants must be eighteen (18) years of age or older, or the age of majority in their state of residence (which is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) as of the date of entry.

THESE RULES PROVIDE FOR INDEMNIFICATION OF THE SPONSOR AND OTHER RELEASED PARTIES BY YOU, A CLASS ACTION AND JURY TRIAL WAIVER, A REQUIREMENT THAT MOST DISPUTES BE SETTLED BY MANDATORY BINDING ARBITRATION, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

Sponsor. This Adro Sweepstakes (this “Sweepstakes”) is sponsored by AdroCard, Inc., 228 Park Ave S, PMB 76726 New York, NY 10003 US (“Adro” or “Sponsor”) and administered by AdroCard, Inc., 228 Park Ave S, PMB 76726 New York, NY 10003 US (“Administrator”). This Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with a social media platform (including but not limited to Facebook, Inc.).

Promotion Period. This Sweepstakes begins on December 1st, 2024 at 12:00 AM ET and ends on January 31, 2025 at 11:59:59 PM  ET (the “Sweepstakes Period”) and includes two (2) entry periods (each an “Entry Period”) as outlined in the chart below:

Non-winning entries from the First Entry Period drawing will carry forward into any subsequent Second Period and be automatically entered into those drawings. The Administrator’s computer is the official time-keeping device for this Sweepstakes. After the Second Entry Period, the sweepstakes will end.

Eligibility. This Sweepstakes is open only to legal residents of the fifty (50) United States or the District of Columbia, who are eighteen (18) years of age or older or the age of majority in their state of residence (which is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) as of the date of entry (an “Entrant”). Children under the age of eighteen (18) or the age of majority in their state of residence are not eligible to participate. All federal, state, and local laws and regulations apply. Void outside of the fifty (50) United States or the District of Columbia, and where prohibited, or restricted by law. Officers, directors, managers, and employees of the Administrator (collectively the “Sweepstakes Entities”) are not eligible to participate. This Sweepstakes may only be entered in or from the fifty (50) United States or the District of Columbia, and entries originating from any other jurisdiction are not eligible for entry.

Participation constitutes an Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions and interpretations, which are final and binding in all matters related to this Sweepstakes. For purposes of this Sweepstakes, an Entrant’s residential address and e-mail address submitted as of the date of entry will be the physical address and e-mail address for the Entrant. Entrants will not be allowed to subsequently change their physical address or e-mail address during a Promotion Period.

How to Enter. During the Promotion Period, individuals may enter a max of 1 time using one of the following two methods:

Account Creation Entry: During the Promotion Period, an eligible Entrant may enter this Sweepstakes by creating an Adro Checking, Adro Savings or Adro Credit Account and having deposited at least $500 dollars into the account.  By creating a Qualifying account & deposit (as defined below) during the Sweepstakes Period, the Entrant consents to entry into this Sweepstakes.

Entries are evidenced by a sweepstakes entry (an “Entry”). An Entrant will receive one entry. A “Qualifying Account” is an Adro account including checking, savings, or credit with at least a $500 dollar deposit made in U.S. dollars. In addition, the Sponsor or Administrator reserves the right to disqualify any Entrant attempting to enter through this method of entry whose account is rescinded, withdrawn, not completed, or otherwise not finalized prior to the awarding of the Sweepstakes. The Entrant’s Qualifying Account must remain active and in good standing through the Promotion Period with an average daily deposit over $500 and the awarding of the prizes.

Conditions Applicable to All Entries. Each time a Qualifying Account is made, an Entrant accrues one entry.  Each user is only eligible for a maximum of one entry.

Alternative Method of Entry: An eligible Entrant may enter this Promotion without a Qualifying Account or deposit. To enter by this free, alternative method of entry (“AMOE”), an Entrant must submit a piece of 3” x 5” paper with the program name “Adro Sweepstakes,” such Entrant’s handwritten first and last name, complete home address (no P.O. Boxes), and e-mail address included on the paper. Mail to: AdroCard Inc. C/O 228 Park Ave S, PMB 76726, New York, NY 10003 US. No mechanically reproduced or photocopied entries will be accepted. Each AMOE entry must be mailed separately in a stamped envelope. Entries become the property of the Administrator upon receipt and will not be returned. Entries must be received by the Sweepstakes Period’s AMOE Entry End Date, before the Sweepstakes end.

MESSAGE AND DATA RATES MAY APPLY IF AN ENTRANT ENTERS THIS SWEEPSTAKES USING HIS/HER/THEIR MOBILE DEVICE. NOT ALL MOBILE TELEPHONES/WIRELESS PROVIDERS CARRY THE SERVICE NECESSARY TO PARTICIPATE IN THIS SWEEPSTAKES. AN ENTRANT SHOULD CONSULT THEIR WIRELESS PROVIDER’S PRICING PLANS. MOBILE ENTRY IS NOT REQUIRED TO ENTER OR WIN A PRIZE IN THIS SWEEPSTAKES.

7. Conditions of Entry: Entry materials that have been tampered with or altered are void. If in the Sponsor’s opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Promotion, or if computer viruses, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Promotion, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and void any Entries submitted fraudulently, to modify, suspend, or terminate the Promotion, or to conduct a random drawing to award the prizes using all eligible, non-suspect Entries received as of the termination date or as otherwise deemed fair and appropriate by the Sponsor. Should the Promotion be terminated prior to the stated expiration date, notice will be posted on the Website. In the event of a dispute as to the identity of the prospective Grand Prize Winner based on an email address, the winning Entry will be declared made by the Authorized Account Holder of the email address submitted at time of entry. CAUTION: ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES AND COSTS) FROM YOU TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

This Sweepstakes is conducted in English. In the event of any discrepancy or inconsistency between the terms and conditions of these English Official Rules and other statements contained in any Sweepstakes-related materials, including, but not limited to any entry form, survey, the Spanish version of these Official Rules (if applicable), and/or point of sale, television, print, or online advertising; the terms and conditions of these English Official Rules shall prevail, govern, and control. All federal, state, and local taxes are the sole responsibility of the prize winners. Any use of mechanical, robotic, repetitive, automatic, pre-printed, duplicated, programmed, script, macro, or any other automated means or similar entry methods or agents (including, but not limited to, contest-entry services or multiple or different e-mail addresses, identities, registrations, or logins) (each, a “Manipulated Entry”) is prohibited and will void all entries submitted by such Entrant if discovered by the Sponsor or Administrator. The Sponsor and Administrator reserve the right to disqualify Entrants from future Sweepstakes if such Entrant submits a Manipulated Entry. Entrants must use their own name and enter on their own behalf. The Sponsor and Administrator each reserves the right, in their sole discretion, to disqualify any entry at any time that in Sponsor’s or Administrator’s opinion does not comply with these Official Rules. The Sponsor or Administrator are not responsible for lost, incomplete, damaged, illegible, late, or misdirected entries, or for errors in mechanical transmission, mail carrier service, unavailability of phone lines or connections, cellular phone service, or any other technical or physical malfunctions or inability to transmit messages or entries, AMOE or otherwise. Received entries become the property of Administrator and will not be returned or acknowledged.

How Winner will be Determined: Entry Period 1. Five (5) prospective winner (the “Winner”) will be selected in a random drawing from among all eligible Entries received during the Promotion Period on approximately January 3rd, 2025, and will be contacted by phone or email on or about three (3) business days following the drawing. The Sponsor’s decisions with respect to the prospective Winner, these Official Rules, and all other matters pertaining to the Promotion shall be final and binding. Entry Period 2. Five (5) prospective Winner (the “Winner”) will be selected in a random drawing from among all eligible Entries received during the Promotion Period on approximately February 3rd, 2025, and will be contacted by phone or email on or about three (3) business days following the drawing. Sponsor’s decisions with respect to the prospective Winner, these Official Rules, and all other matters pertaining to the Promotion shall be final and binding.

Winner Notification and Verification. The Administrator will attempt to notify the Prospective Winner by e-mail or by phone within ten (10) to fourteen (14) business days of the end of this Sweepstakes, or sooner, at the Administrator’s discretion. Each Prospective Winner must redeem the associated prize within ninety (90) business days of receiving notice they have won a prize. The Sponsor and Administrator are not responsible for lost, delayed, misdirected, or returned prize notifications. Awarding of a prize is subject to verification of eligibility and compliance with these Official Rules. Prospective Winner may be asked to complete, sign, and return an Affidavit of Eligibility, Waiver of Liability, and Publicity Release form (TN residents need not sign Publicity Release) and, if so, must complete such forms within five (5) business days after receipt of such forms from Administrator. All activity arising out of and relating to this Sweepstakes, including any reference to an Entrant’s status as a “winner” or “Prospective Winner” is subject to verification and/or auditing for compliance with these Official Rules at the Sponsor’s or Administrator’s discretion.

By participating in this Sweepstakes, Entrants agree to cooperate with the Sponsor and Administrator concerning such verification and/or auditing. By entering the Sweepstakes or accepting a prize, each Entrant, and each Winner, consents to the Sponsor’s or Administrator’s use of his or her name, likeness, voice, opinions, information, biographical information, hometown, and jurisdiction of residence for publicity and promotional purposes without further compensation as permitted by law. (TN residents need not so consent.) If a Conditional Winner is not in compliance with these Official Rules, if a Prospective Winner does not redeem an instant win prize within ninety (90) business days of first notification attempt, if a prize notification or attempted notification is returned as undeliverable, if a Conditional Winner is deemed ineligible for any reason, if a Conditional Winner fails to sign and return required forms and provide required identification by the deadlines established by the Sponsor or Administrator, or if a Conditional Winner declines a prize offered, the prize will be forfeited and will not be awarded.

Prizes To Be Awarded (Only 1 Sweepstakes Prize per Entrant). “Sweepstakes Prizes” include:

1 - $1000 Statement Credit to reimburse travel expenses (Period 1)

1 - $1000 Statement Credit to reimburse a smart phone purchase (Period 2)

3 - $300 Statement Credit to reimburse a tablet purchase  (1 in Period 1, 2 in Period 2)

5 - $200 Statement Credits to reimburse purchases (3 in Period 1, 2 in Period 2)

All Sweepstakes Prizes are non-transferable or assignable and no substitutions or cash redemptions, except at Sponsor's or Administrator’s sole discretion or as otherwise, shall be provided. The Sponsor or Administrator will not replace any lost or stolen prizes. In the case of unavailability of any prize, the Sponsor or Administrator reserves the right to substitute a prize of equal or greater value. Odds of winning depend on the number of prizes remaining available at the time of entry and number of eligible Sweepstakes distributed. The number of prizes available to be won will diminish as they are awarded. Depending upon the number of entries, all prizes may not be awarded. No more than the stated number of prizes set forth in these Official Rules will be awarded.

Disclaimer, Release, and Limitation of Liability. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any Entrant regarding this Sweepstakes, except as expressly set forth in these Official Rules. By participating in this Sweepstakes, Entrants and prize Winners release the Sponsor and each and all of the Sweepstakes Entities, from any and all liability, damages, or causes of action (however named or described) with respect to or arising out of participation in this Sweepstakes, and/or the receipt or use/misuse of any prize awarded, including, without limitation, liability for personal injury, death or property damage. Entrants assume all risk of loss, damage, destruction, delay, or misdirection of Sweepstakes materials submitted to Sponsor and all of the Sweepstakes Entities.

SPONSOR AND ADMINISTRATOR MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY PRIZE OR YOUR PARTICIPATION IN THIS SWEEPSTAKES. BY ENTERING THE SWEEPSTAKES, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS STEARNS BANK, N.A FACEBOOK, INC., INSTAGRAM, X FORMERLY KNOWN AS TWITTER, TIKTOK, OR ANY OTHER SOCIAL MEDIA PLATFORM, , MASTERCARD, SPONSOR, ADMINISTRATOR, , AFFILIATES, SUPPLIERS, DISTRIBUTORS, ADVERTISING/PROMOTION AGENCIES, AND PRIZE SUPPLIERS, AND EACH OF THEIR RESPECTIVE PARENTS, AFFILIATES, AND SUBSIDIARIES AND EACH SUCH COMPANY’S OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR: (1) ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY ENTRANTS, PRINTING ERRORS, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR USED IN THIS SWEEPSTAKES; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (3) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THIS SWEEPSTAKES; (4) TECHNICAL OR HUMAN ERROR THAT MAY OCCUR IN THE ADMINISTRATION OF THIS SWEEPSTAKES OR THE PROCESSING OF ENTRIES; OR (5) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY THAT MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT’S PARTICIPATION IN THIS SWEEPSTAKES OR RECEIPT OR USE OR MISUSE OF ANY PRIZE.

If for any reason, this Sweepstakes is not capable of running as planned, including infection by computer virus, tampering, fraud, technical failure, Act of God, or any other cause that corrupts or threatens the administration, security, or integrity of this Sweepstakes, Sponsor or Administrator reserves the right, in their sole discretion, to terminate or suspend this Sweepstakes. If Sponsor or Administrator terminates this Sweepstakes, it will not select any Winners after termination. If Sponsor or Administrator terminates or modifies this Sweepstakes, Sponsor will post notice on the official Sweepstakes website.

CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ADMINISTRATOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. SPONSOR'S OR ADMINISTRATOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

Privacy. Administrator collects personal information from you when you enter this Sweepstakes. Administrator reserves the right to use any information collected in accordance with its privacy policy, which may be found at https://www.joinadro.com/privacy-policy.

Governing Law and Disputes. ANY CONTROVERSY OR CLAIM ARISING OUT OF, OR RELATING TO, THESE OFFICIAL RULES AND THIS SWEEPSTAKES (“CLAIM”) IS GOVERNED BY THIS SECTION, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF DELAWARE, AND THE FORUM AND VENUE FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES OR THESE OFFICIAL RULES SHALL BE IN THE COUNTY OF NEWCASTLE, DELAWARE, TO BE RESOLVED BY THE EXCLUSIVE MEANS PROVIDED HEREIN. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT MUST THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR MUST BE FOLLOWED, EXCEPT THAT THE ARBITRATOR MUST BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN DELAWARE. ANY CLAIM WILL BE ARBITRATED ON AN INDIVIDUAL BASIS AND MAY NOT BE CONSOLIDATED IN ANY ARBITRATION WITH ANY CLAIM OR CONTROVERSY OF ANY OTHER PARTY OR IN ANY FORM OF CLASS ACTION. THE REMEDY FOR ANY CLAIM WILL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT WILL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS’ FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

Class-Action Waiver. Entrants further agree that, except where prohibited by law, as a condition of participating in this Sweepstakes, any and all disputes and causes of action arising out of or connected with these Sweepstakes, including any Prize awarded, shall be resolved on individual basis, without resort to any form of class action, collective action, or mass action.  There will be no right or authority for any dispute to be brought, heard, or arbitrated as a class or collective action (“Class Action Waiver”).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON THE ABILITY TO PURSUE CLASS ACTION REMEDIES, OR ON CERTAIN KINDS OF DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, IN WHOLE OR IN PART.

FOR CALIFORNIA ENTRANTS: EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER AGAINST THE RELEASED PARTIES. SECTION 1542 READS AS FOLLOWS:

“CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

List of Winners. For the names of the winners (first name and last initial) of prizes valued at more than $250, send an email with “Winner Names Adro Sweepstakes Request” in the subject line to support@joinadro.com to be received within sixty (60) business days of the end of the Promotion Period.
